Welcome to the Regewall Training Institute Affiliate Program! These Terms and Conditions ("Agreement") govern your participation as an affiliate ("Affiliate" or "You") in the affiliate program of Regewall Training Institute ("Regewall," "We," "Us," or "Our"). By joining or participating in the Program, you agree to be bound by these terms. Regewall Training Institute is an international training and consulting firm based in Pretoria, South Africa, specializing in customized learning solutions. We offer Short Course Training programs, In-House Training, E-Learning, and Team Building services tailored for public sector, donor-funded organizations, government departments, and NGOs across Africa. Our focus is on capacity building in areas such as Gender Empowerment, Leadership & Strategy, and empowering Africa's energy future, with a strong emphasis on ROI-focused approaches. 1. Program Enrollment To enroll in the Regewall Training Institute Affiliate Program, you must complete the online application. We reserve the right to approve or reject any application at our sole discretion. We may reject your application if we determine that your website or promotional methods are unsuitable for the Program, including but not limited to sites that: • Promote sexually explicit materials. • Promote violence. • Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age. • Promote illegal activities. • Violate intellectual property rights. • Are otherwise deemed inappropriate by Regewall Training Institute. 2. Affiliate Responsibilities As an Affiliate, you agree to: • Promote Regewall Training Institute and its courses/services in an ethical and legal manner. • Not engage in any form of spamming, unsolicited commercial email (UCE), or other illegal marketing activities. • Not make any false or misleading claims about Regewall Training Institute or its offerings. • Clearly disclose your affiliate relationship with Regewall Training Institute in all promotions where such disclosure is required by law or ethical guidelines. • Ensure that your promotional content is accurate and up-to-date with information available on www.regewallinstitute.co.za. • Not use any marketing materials that are not provided or approved by Regewall Training Institute. • Be responsible for the development, operation, and maintenance of your site and for all materials that appear on your site. 3. Commission Structure • Commission Rate: Details regarding the specific commission rate for successful referrals will be provided upon acceptance into the Program. Commissions are typically a percentage of the net revenue generated from qualified sales originating from your unique affiliate link. • Qualified Sales: A qualified sale is defined as a completed purchase of a Regewall Training Institute course or service by a new customer who has been directly referred through your unique affiliate tracking link and has not requested a refund or chargeback within the specified refund period. • Payment Threshold: Commissions will be paid once your accrued earnings reach a minimum payment threshold, which will be communicated to you. • Payment Schedule: Payments will be processed on a monthly basis, typically within a days after the end of the payment period. • Payment Method: Commissions will be paid via bank transfer, PayPal,. You are responsible for providing accurate payment details. • Taxes: Affiliates are responsible for any taxes associated with commission payments. 4. Tracking and Reporting Regewall Training Institute will provide you with access to an affiliate dashboard or reporting system that allows you to track your referrals, qualified sales, and commission earnings. While we strive for accuracy, we are not responsible for tracking errors that may result from browser settings, user actions, or other technical issues beyond our reasonable control. 5. Intellectual Property You acknowledge that Regewall Training Institute owns all rights, title, and interest in and to its brand, logos, website content (www.regewallinstitute.co.za), and all related intellectual property. You are granted a non-exclusive, non-transferable, revocable license to use our approved marketing materials solely for the purpose of promoting Regewall Training Institute within this Program. 6. Termination This Agreement may be terminated by either party at any time, with or without cause, by providing written notice. Upon termination, you must immediately cease all use of Regewall Training Institute's marketing materials and remove all links and references to Regewall from your website and promotional channels. Any earned but unpaid commissions will be paid out, provided they meet the payment threshold and are for qualified sales. 7. Limitation of Liability Regewall Training Institute will not be liable for any indirect, special, incidental, or consequential damages arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Our total liability arising with respect to this Agreement and the Program will not exceed the total commission paid or payable to you under this Agreement. 8. General Provisions • Governing Law: This Agreement shall be governed by and construed in accordance with the laws of South Africa. • Entire Agreement: This Agreement constitutes the entire agreement between you and Regewall Training Institute regarding the Affiliate Program. • Modifications: Regewall Training Institute reserves the right to modify these Terms and Conditions at any time. We will notify you of any significant changes.
